Versien is coming soon. These terms apply to software supplied under this agreement and accepted separately. Publishing this agreement does not make software available for purchase or download.

This agreement explains your rights to use Versien and what comes with your licence. Each licence is for one user. Versien Beta allows one activated device and up to three days offline, with no trial. The final version allows up to two activated devices and 14 days offline. A paid final-version licence is perpetual, with released minor updates within that major version included. Initial online activation and periodic online validation are required for both editions.
1. Agreement and scope
1.1 This agreement is between Versien and the person or organisation acquiring the licence (you). You agree by expressly accepting it. If acting for an organisation, you must have authority to bind it. If you cannot legally enter this agreement, a parent or guardian must accept it for you. Users under 16 must use a parent or guardian's account and have the same permissions under this agreement as other licensed users; the adult is the account holder and contracting party.
1.2 Software means the Versien application or plugin, its documentation and updates supplied under this agreement. Included Content means the creative material supplied with it, such as chord and scale data, MIDI patterns and presets. It excludes material you create or import independently.
1.3 This agreement governs software use and licence administration. Our Website Terms govern general website and account use; the seller's purchase terms govern the sale. Neither changes the licence granted here. Third-party components retain their own applicable licences.
2. Your licence
2.1 On payment, we grant a non-exclusive licence for one person to use the licensed edition of the Software on devices owned or controlled by that user or their parent or guardian: one activated device for Versien Beta, or up to two for the final version. A parent or guardian may hold the account and manage the licence for one child, who is the licensed user. Multiple plugin instances on an authorised device need no additional licence.
2.2 An organisation must allocate each licence to one individual. This is not a shared, floating or classroom licence; other users need their own licences. Teaching and demonstrations are permitted under section 5.
2.3 The licence is personal to its licensed user. You may not transfer, sell, rent, lend, sublicense or share it or its activation credentials unless we agree in writing or the law requires it. The parent or guardian arrangement in section 2.1 is permitted. You may keep reasonable backups for your own use.
2.4 A preorder bundle grants licences for both Versien Beta and the final version at purchase. The beta download is available in your account immediately after confirmed purchase. The final-version download will be added to your account at launch, without another purchase. Versien Beta has no trial; access requires a beta licence.
3. Activation and devices
3.1 Internet access is required for activation and periodic validation. After successful online validation, you may use Versien Beta offline for up to three days, or the final version for up to 14 days, subject to any earlier licence or trial expiry. If validation is overdue, licensed features may become unavailable until it succeeds. This does not turn your licence into a subscription or end a paid final-version licence solely through the passage of time.
3.2 You may replace a device by deactivating it and activating another, keeping within your edition's limit: one active authorisation for Versien Beta, or two for the final version. You can do this through your account; if the old device is inaccessible, please contact us for help with the change. We may reasonably ask you to verify licence ownership. For the final version, you can continue using the Software on your other authorised device. Once deactivated, the old device is no longer authorised to run the Software.
4. Duration, updates and support
4.1 A paid licence for the final version is perpetual unless ended under section 11. No recurring licence fee is required for that purchased version. Beta access ends at final launch, when the final-version download becomes available in preorder customers' accounts. Ending beta access does not end their full-version licence.
4.2 Minor and maintenance updates we release within your purchased major version are included. New major versions, expansions and separate products may cost extra. Declining an optional upgrade does not end your existing licence.
4.3 We decide which features and updates to develop, subject to our purchase commitments and any updates required by law. We do not promise compatibility with every future system or host. Please check the published requirements before buying. If you have questions about compatibility or using Versien, you can reach us through our support page or email. Response times are not guaranteed unless separately agreed.
5. Your music and creative use
5.1 You may use, edit and incorporate Included Content into your own music, recordings, performances, audiovisual productions and educational materials (Your Works), for personal, commercial, client and teaching work. You may publish, sell, distribute and license Your Works worldwide without paying us further royalties or providing attribution.
5.2 You may show the Software in lessons, demonstrations and tutorials, and share project-specific audio, MIDI, stems and project files as reasonably needed with clients, collaborators and students. This does not give recipients a software licence or permission to redistribute protected Included Content as a separate library.
5.3 You may not extract or repackage protected Included Content as standalone assets, packs, presets or a reusable library, whether sold or free, or use it to supply another software product's content library. Editing, processing or changing its format does not remove this restriction. Educational examples must support the teaching rather than substitute for the supplied collection.
5.4 You retain your rights in your original work. We do not claim ownership of your music or exclusive rights in common chords, scales or musical ideas.
5.5 You are responsible for checking that Your Works and the way you use or release them do not infringe copyright or other rights, and for obtaining any necessary permissions. Using the Software does not provide copyright clearance or guarantee that a result is original, unique or free of third-party rights.
6. Ownership and restrictions
We and our licensors retain ownership of the Software and Included Content. The Software is licensed, not sold. Except as permitted here, by a third-party licence or by applicable law, you must not:
- copy or distribute the Software for another person's use;
- reverse engineer, decompile or disassemble it;
- bypass activation, falsify licence information or remove proprietary notices; or
- use it unlawfully or infringe others' rights.
Accurately naming Versien in your work or teaching is allowed, but do not imply our endorsement without permission.
7. Purchases and refunds
7.1 For purchases through Moonbase, the seller named at checkout and on your receipt handles the sale under its Buyer Terms. Versien provides the licence and product support. For payment or refund questions, you can contact the seller or come to us for help with your request. Each party retains its legal obligations.
7.2 Versien offers no additional change-of-mind refund or satisfaction guarantee. Rights under the seller's terms, applicable law or an express purchase offer remain available. Registration, activation, download or use does not remove remedies for faulty or misdescribed software. If an order looks incorrect or appears to have been placed twice, please contact us so we can help.
7.3 Any statutory withdrawal right continues until it expires or lawfully ends. Where immediate digital delivery can end that right, the seller must obtain the required separate consent and acknowledgement and provide confirmation. Accepting this EULA alone does not do so.
8. Consumer rights
Nothing here excludes or limits a guarantee, remedy or right that cannot lawfully be excluded or limited, including applicable Australian Consumer Law and mandatory consumer protections in your country. These rights take priority over inconsistent wording throughout this agreement. A support period, update policy or voluntary offer does not set an expiry date for statutory rights.
9. Warranties and projects
Subject to section 8 and our express purchase commitments, the Software is provided as available, without other warranties to the extent permitted by law. We do not guarantee uninterrupted or error-free operation, compatibility beyond stated requirements or a particular creative or commercial result. To help protect your work, please keep reasonable backups and check compatibility before relying on the Software for important projects.
10. Liability
Subject to section 8 and to the extent permitted by law, we exclude liability for indirect or consequential loss, or lost profits, revenue, business opportunities or anticipated savings. Our total liability relating to the Software or this agreement is limited to the price paid for the licence giving rise to the claim.
These limits do not apply to fraud, deliberate misconduct, death or personal injury caused by negligence, or any liability or remedy that cannot lawfully be limited.
11. Suspension and termination
11.1 We may end an affected licence for material breach. For a breach that can be remedied, we will first give written notice and at least 14 days to remedy it, and may end the licence if it remains unremedied. A material breach that cannot be remedied may result in termination on written notice.
11.2 We may proportionately suspend an affected activation or licence-related account feature to address credible evidence of piracy, unauthorised distribution, fraud, a serious security threat or unlawful use. We will explain and provide a way to resolve or challenge the issue as soon as reasonably practicable, unless legally prevented, and restore access when the grounds no longer apply.
11.3 The licence ends if the purchase is lawfully cancelled and fully refunded. A partial price reduction, tax adjustment or good-faith complaint does not itself end it. You may end your licence by notifying us and stopping use; this creates no additional refund entitlement.
11.4 If a licence or beta access ends, you will need to stop using and remove the affected edition of the Software and any standalone protected Included Content for which you no longer hold a licence. Your permissions for Your Works lawfully created while licensed continue, including Included Content incorporated into them. Accrued rights, ownership provisions and applicable liability limits survive termination.
12. Privacy
Our Privacy Policy explains personal information handling. Accepting this agreement is not consent to optional data collection or marketing. For privacy questions or requests, you can contact privacy@versien.com.
13. Changes and governing law
13.1 Western Australian law applies, with non-exclusive jurisdiction in its courts, subject to your mandatory local consumer protections and court rights.
13.2 We may revise this agreement for future purchases or products. Material changes affecting an existing licence require notice and agreement where required by law; publishing a revision alone does not reduce rights already granted for your purchased version or Your Works.
13.3 This agreement and any specific licence terms agreed at purchase describe the licence arrangement without excluding promises or representations you may legally rely on. If a provision is unenforceable, the rest continues where possible. Delay in enforcing a right does not waive it.
13.4 We may transfer this agreement with the software business if the successor assumes our obligations and your rights are not materially reduced.
